In order to have a valid contract, the parties must reach what is called a “meeting of the minds;" or that both parties agree to the same terms and conditions. There must also be adequate consideration for the bargain to be enforceable; typically money, labor or even love and affection. To be certain that you are legally protected, you should always make sure your agreement is in writing and signed by the other party or parties to the contract. Legal defenses to enforcement of a contract exist which include illegality, lack of capacity, fraud in the inducement, coercion/duress, mistake, etc.
Verbal or oral agreements are only enforceable in limited circumstances, and even when they are enforceable, the only evidence of the actual agreement is the testimony of the parties, which often contradicts each other. A written agreement, on the other hand, speaks for itself and does not present the proof problems inherent in a verbal agreement. A signed written contract is the best protection a business or individual can have if a breach occurs by the other party to the contract.
